These Terms of Service govern your use of the website located at https://usesignhouse.com and any related services provided by SignHouse, operated by Simple Ink SRL.

By accessing https://usesignhouse.com, you agree to abide by these Terms of Service and to comply with all applicable laws and regulations. If you do not agree with these Terms of Service, Electronic Signature Terms, you are prohibited from using or accessing this website or using any other services provided by SignHouse.

We, SignHouse, reserve the right to review and amend any of these Terms of Service at our sole discretion. Upon doing so, we will update this page. Any changes to these Terms of Service will take effect immediately from the date of publication.

Limitations of Use

By using this website, you warrant on behalf of yourself, your signees, teammates (workspace members), and other parties you represent that you will not:

  1. Modify, copy, prepare derivative works of, decompile, or reverse engineer any materials and software contained on this website;
  2. Remove any copyright or other proprietary notations from any materials and software on this website;
  3. Transfer the materials to another person or “mirror” the materials on any other server;
  4. Knowingly or negligently use this website or any of its associated services in a way that abuses or disrupts our networks or any other service SignHouse provides;
  5. Use this website or its associated services to transmit or publish any harassing, indecent, obscene, fraudulent, or unlawful material;
  6. Use this website or its associated services in violation of any applicable laws or regulations;
  7. Use this website in conjunction with sending unauthorized advertising or spam;
  8. Harvest, collect, or gather user data without the user’s consent
  9. Resell your account, transfer ownership (unless with the written consent from our company), or exchange your account's access and/or data in exchange for any kind of compensation or remuneration. Doing so might lead to immediate termination of the account(s) and your right to use our website(s). Accounts that are suspected for doing that might be subjected to tests or verifications by our company in order to confirm that the initial owner's identity is matched.
  10. Use this website or its associated services in such a way that may infringe the privacy, intellectual property rights, or other rights of third parties.

General Terms

  1. All the terms and conditions of this service will apply to users and sub-users of an account.
  2. Our eSignature solution is designed to comply with eSignature laws globally. While we make reasonable efforts to stay updated with these laws, the responsibility for compliance ultimately rests with the user.
  3. Accuracy of Materials. The materials appearing on our website are not comprehensive and are for general information purposes only. SignHouse does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on this website, or otherwise relating to such materials or on any resources linked to this website.
  4. Links. SignHouse has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement, approval, or control by SignHouse of the site. Use of any such linked site is at your own risk and we strongly advise you make your own investigations with respect to the suitability of those sites.
  5. Indemnification. Customers agree to indemnify and hold harmless SignHouse from any claims, liabilities, damages, or expenses that arise from their or their sub-users' non-compliance with relevant eSignature laws or from the use of the white-label feature.
  6. SignHouse's eSignature solution is designed in compliance with international eSignature laws. However, it is the responsibility of customers and their sub-users to ensure that their use of the eSignature solution aligns with the specific legal requirements of their respective jurisdictions.
  7. Customers and users acknowledge that they have reviewed and understand the legal binding nature of SignHouse's eSignature solution. Customers accept the solution "as is" in terms of its ability to comply with international eSignature laws and agree not to dispute or challenge the legal effectiveness of the solution. Customers agree to not raise disputes or legal claims against SignHouse concerning the legal binding nature and compliance of the eSignature solution with eSignature laws.
  8. Overview of White-Label Feature: The white-label feature enables customers to offer eSignature software solutions to their clients (referred to as "sub-users"). This feature is an extension of SignHouse's existing services and adheres to the same standards of quality and compliance.
  9. User Responsibilities: Customers and their sub-users bear full responsibility for understanding and adhering to the legal requirements applicable to eSignatures in their jurisdictions. They must ensure that the use of the white-label eSignature solution complies with these laws.
  10. Customers agree to indemnify and hold harmless SignHouse from any claims, liabilities, damages, or expenses that arise from their or their sub-users' non-compliance with relevant eSignature laws or from the use of the white-label feature.
  11. In exceptional scenarios, SignHouse commits to maintaining high-quality services while balancing the economic realities of business operations. Users will be engaged in open communication regarding any such changes, ensuring they are well-informed and able to adapt accordingly.
  12. SignHouse reserves the right to adjust pricing for its services and features, including the white-label eSignature solution. Such adjustments will only be made in situations where it is necessary to maintain the sustainability and long-term viability of the business.
  13. SignHouse may modify usage limits for its services as required. These changes will be made on a case-by-case basis, particularly in scenarios where operational costs exceed reasonable expectations or fair use parameters. Users will be informed of any such changes.
  14. In certain situations, SignHouse may require users to connect to their own service providers (e.g., email service providers, storage, and/or storage bandwidth providers) instead of utilizing the ones provided by SignHouse. This measure will be considered only when it is essential for maintaining service quality and the long-term existence of our company. Users will be notified of such requirements.
  15. The amount and type of resources included in SignHouse's services may be subject to change. These changes will only occur in instances where current resource allocations prove unsustainable or exceed the bounds of fair and reasonable use. Affected users will be alerted to these changes and provided with details regarding the new resource allocations.
  16. Customers may have the option to customize the white-label software within predefined limits set by SignHouse. It is crucial to note that any customization offered is sold on an "as-is" basis. SignHouse does not guarantee that customized versions of the software will be free from defects or will be fit for a particular purpose. Customers are responsible for ensuring that the customized software meets their needs and the needs of their sub-users.
  17. Customers who use SignHouse's white-label feature are ultimately responsible for providing support to their sub-users. While SignHouse will offer assistance where applicable, the primary support liability lies with the white-labeling customer. This includes addressing sub-user inquiries, technical issues, and other support-related matters.
  18. By becoming a white-labeling customer of SignHouse, you agree that all terms and conditions that apply to you as a customer of SignHouse will similarly apply from your sub-users to you. This means you are responsible for ensuring that your sub-users adhere to the same standards and conditions set forth in your agreement with SignHouse.
  19. Reselling of the SignHouse white-label software is permitted only with the explicit written approval of SignHouse or if specific tools for reselling are provided by SignHouse. This clause ensures that all reselling activities are conducted in a controlled and authorized manner, aligning with SignHouse's business policies and legal requirements.

Intellectual Property

The intellectual property in the materials contained in this website are owned by or licensed to SignHouse and are protected by applicable copyright and trademark law. We grant our users permission to download one copy of the materials for personal, non-commercial transitory use.

This constitutes the grant of a license, not a transfer of title. This license shall automatically terminate if you violate any of these restrictions or the Terms of Service, and may be terminated by SignHouse at any time.

User-Generated Content

You retain your intellectual property ownership rights over content you submit to us for publication on our website. We will never claim ownership of your content, but we do require a license from you in order to use it.

When you use our website or its associated services to post, upload, share, or otherwise transmit content covered by intellectual property rights, you grant to us a non-exclusive, royalty-free, transferable, sub-licensable, worldwide license to use, distribute, modify, run, copy, publicly display, translate, or otherwise create derivative works of your content in a manner that is consistent with your privacy preferences and our Privacy Policy.

The license you grant us can be terminated at any time by deleting your content. However, to the extent that we (or our partners) have used your content in connection with commercial or sponsored content, the license will continue until the relevant commercial or post has been discontinued by us.

Liability

To the extent permitted by law, SignHouse makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property, or other violation of rights.

In no event shall SignHouse or its suppliers be liable for any consequential loss suffered or incurred by you or any third party arising from the use or inability to use this website or the materials on this website, even if SignHouse or an authorized representative has been notified, orally or in writing, of the possibility of such damage.

In the context of this agreement, “consequential loss” includes any consequential loss, indirect loss, real or anticipated loss of profit, loss of benefit, loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of savings, loss of reputation, loss of use and/or loss or corruption of data, whether under statute, contract, equity, tort (including negligence), indemnity, or otherwise.

Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

Right to Terminate

SignHouse reserves the right to monitor the use of its software by all customers, including those utilizing the white-label feature, to ensure compliance with our Terms of Service. If a customer or their sub-users are found to be in violation of these terms, SignHouse may take appropriate enforcement actions. These actions may include, but are not limited to, warnings, suspension of service, or termination of the agreement.

We may suspend or terminate your right to use our website and terminate these Terms of Service immediately upon written notice to you for any breach of these Terms of Service.

Severance

Any term of these Terms of Service which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity of the remainder of these Terms of Service is not affected.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Romania. You irrevocably submit to the exclusive jurisdiction of the courts in that State or location.

Acceptable Use Policy

This Acceptable Use Policy outlines examples of prohibited conduct in connection with our Services. Note that any capitalized terms not defined in this Acceptable Use Policy have the meanings set forth in our Terms of Service. Our Services are used by millions of people to express themselves, build their brands and grow their businesses. We’re proud of the creative and inspiring ways that people use our Services, but we expect our users to use our platform responsibly. As a SignHouse user you agree not to misuse the Services or help anyone else do so. Below are some guidelines for what you should not do with the Services.

1. Abusing And Disrupting The Services

By accepting our Terms and Policies, you agree to the following.

1.1. Don’t probe, scan or test the vulnerability of any system or network.

1.2. Don’t breach or otherwise bypass any security or authentication measures.

1.3. Don’t access, tamper with or use non-public areas or parts of the Services, or shared areas of the Services you haven't been invited to access.

1.4. Don’t interfere with or disrupt any user, host or network (whether it’s SignHouse’s or someone else’s), for example by distributing malware or overloading, flooding or mail-bombing any part of the Services.

1.5. Don’t take apart, decompile or reverse engineer any part of the Services in an effort to access things such as source code or algorithms.

1.6. Don’t access, search or create accounts for the Services by any means other than our publicly supported interfaces (for example, scraping, spidering or crawling).

1.7. Don’t take action that imposes an unreasonable load on our infrastructure or our third party providers. We reserve the right to determine what’s reasonable.

1.8. Don’t provide your password to any other person, use any other person’s username and password, or otherwise manage the Services through shared credentials.

1.09. Don’t avoid, bypass, remove, deactivate, impair, descramble or otherwise circumvent any technological or other measure (including watermarks) used by SignHouse or any other party (including another user) intended to protect the Services (including any Template).

1.10. Don’t remove any copyright or other proprietary notices from the Services (including any Template).

1.11. Don't resell or recommercialize your account, transfer ownership (unless with the written consent from our company), or exchange your account's access and/or data in exchange for any kind of compensation or remuneration. Doing so will be considered an abuse of our service, our offers, prices and services. Email changes or account details changes must be made with emails/details that match a person's identity. No exceptions can be made to this rule. Identifiable details must be stored by our company and can be used as proof in order to avoid reselling or recommercialization. A situation in which not enough evidence can be brought forward as proof of identity or a proof of linkage between the initial owner of the account and the purchaser of our services will lead to the suspension of the account until enough evidence can be brought forward.

2. Spamming And Phishing

2.1. Don’t use our Services to send spam, emails that violate CAN-SPAM or other laws, emails to people who have not explicitly consented (where such consent is required) or other unsolicited communications (bulk or otherwise), promotions or advertisements. Note, we reserve the right to determine what constitutes spam.

2.2. Don’t send altered, deceptive or false source-identifying information (including any misleading or incorrect names, email addresses, subject lines), including without limitation phishing or spoofing.

3. Deceiving And Impersonating Others

3.1. Don’t do anything that's false, fraudulent, inaccurate or deceiving.

3.2. Don’t impersonate another person, company or entity.

3.3. Don’t engage in misleading or unethical marketing or advertising.

4. Stealing

4.1. Don’t use unauthorized credit cards, debit cards or other unauthorized payment devices on the Services.  

4.2. Don’t promote or advertise products or services other than your own without appropriate authorization.

4.3. Don’t sell the Services unless specifically authorized to do so, or publish or use the Services on any network or system other than those provided by SignHouse unless previously authorized by SignHouse.

5. Infringing, Misappropriating And Violating Rights

5.1. Don’t infringe or misappropriate anyone’s copyright, trademark or other intellectual property rights.

5.2. Don’t violate anyone’s privacy or publicity rights.

6. Other Improper Or Illegal Conduct

6.1. Don’t threaten, harass, or abuse any individuals.

6.2. Don’t incite violence.

6.3. Don’t publish sexually explicit or obscene material.

6.4. Don’t condone or promote self-harm.

6.5. Don’t condone or promote violence against any person or group based on race, ethnicity, nationality, religion, gender, gender identity, sexual preference, age or disability.

6.6. Don’t violate any laws through the Services, including without limitation all local laws regarding online conduct and acceptable content.

If we conclude, in our discretion, that you have misused the Services, we may take action against your Account or Your Sites. We try to ensure fair outcomes, but in all cases we reserve the right to remove any content or suspend or terminate your Account or Your Sites, without any refund of any amounts paid for the Services, without liability or notice to you, at any time and for any reason (except where prohibited by applicable law). We reserve the right to enforce, or not enforce, this Acceptable Use Policy in our sole discretion.

We may modify this Acceptable Use Policy from time to time, and will post the most current version on our site. If a modification meaningfully reduces your rights, we'll notify you in accordance with the procedures set forth in our Terms of Service.

Acceptable Use Policy

This acceptable use policy covers the products, services, and technologies (collectively referred to as the “Products”) provided by SignHouse under any ongoing agreement. It’s designed to protect us, our customers, and the general Internet community from unethical, irresponsible, and illegal activity.

SignHouse customers found engaging in activities prohibited by this acceptable use policy can be liable for service suspension and account termination. In extreme cases, we may be legally obliged to report such customers to the relevant authorities.

Fair use

We provide our facilities with the assumption your use will be “business as usual”, as per our offer schedule. We may impose limits that prevent excessive usage. If your use is considered to be excessive, then additional fees may be charged, capacity may be restricted, or we may outright terminate accounts, workspaces and users' access based on this. We reserve the right to edit, modify and update such limits in order to ensure the proper functioning of our Products. If you're on a plan that has an unspecified set of limits and/or resources, we may impose limits which can only be lifted once a proper verification is conducted by our company, in order to verify that there is a valid use case from you and not an abusive one. We reserve the right to terminate or restrict access, irrespective of the billing plan, if we find resources abuse amongst users or their users ("end-users") or excessive usage beyond the usual limits of normal (compared to other users or end-users accounts' resource usage).

We are opposed to all forms of abuse, discrimination, rights infringement, and/or any action that harms or disadvantages any group, individual, or resource. We expect our customers and, where applicable, their users to likewise engage our Products with similar intent.

Customer accountability

We regard our customers as being responsible for their own actions as well as for the actions of anyone using our Products with the customer’s permission. This responsibility also applies to anyone using our Products on an unauthorized basis as a result of the customer’s failure to put in place reasonable security measures.

By accepting Products from us, our customers agree to ensure adherence to this policy on behalf of anyone using the Products as their end users. Complaints regarding the actions of customers or their end-users will be forwarded to the nominated contact for the account in question.

If a customer — or their end-user or anyone using our Products as a result of the customer — violates our acceptable use policy, we reserve the right to terminate any Products associated with the offending account or the account itself or take any remedial or preventative action we deem appropriate, without notice. To the extent permitted by law, no credit will be available for interruptions of service resulting from any violation of our acceptable use policy.

Prohibited activity

Copyright infringement and access to unauthorized material

Our Products must not be used to transmit, distribute or store any material in violation of any applicable law. This includes but isn’t limited to:

  1. any material protected by copyright, trademark, trade secret, or other intellectual property right used without proper authorization, and
  2. any material that is obscene, defamatory, constitutes an illegal threat or violates export control laws.

The customer is solely responsible for all material they input, upload, disseminate, transmit, create or publish through or on our Products, and for obtaining legal permission to use any works included in such material.

SPAM and unauthorized message activity

Our Products must not be used for the purpose of sending unsolicited bulk or commercial messages in violation of the laws and regulations applicable to your jurisdiction (“spam”). This includes but isn’t limited to sending spam, soliciting customers from spam sent from other service providers, and collecting replies to spam sent from other service providers.

Our Products must not be used for the purpose of running unconfirmed mailing lists or telephone number lists (“messaging lists”). This includes but isn’t limited to subscribing email addresses or telephone numbers to any messaging list without the permission of the email address or telephone number owner, and storing any email addresses or telephone numbers subscribed in this way. All messaging lists run on or hosted by our Products must be “confirmed opt-in”. Verification of the address or telephone number owner’s express permission must be available for the lifespan of the messaging list.

We prohibit the use of email lists, telephone number lists or databases purchased from third parties intended for spam or unconfirmed messaging list purposes on our Products.

This spam and unauthorized message activity policy applies to messages sent using our Products, or to messages sent from any network by the customer or any person on the customer’s behalf, that directly or indirectly refer the recipient to a site hosted via our Products.

Unethical, exploitative, and malicious activity

Our Products must not be used for the purpose of advertising, transmitting, or otherwise making available any software, program, product, or service designed to violate this acceptable use policy, or the acceptable use policy of other service providers. This includes but isn’t limited to facilitating the means to send spam and the initiation of network sniffing, pinging, packet spoofing, flooding, mail-bombing, and denial-of-service attacks.

Our Products must not be used to access any account or electronic resource where the group or individual attempting to gain access does not own or is not authorized to access the resource (e.g. “hacking”, “cracking”, “phreaking”, etc.).

Our Products must not be used for the purpose of intentionally or recklessly introducing viruses or malicious code into our Products and systems.

Our Products must not be used for purposely engaging in activities designed to harass another group or individual. Our definition of harassment includes but is not limited to denial-of-service attacks, hate-speech, advocacy of racial or ethnic intolerance, and any activity intended to threaten, abuse, infringe upon the rights of, or discriminate against any group or individual.

Other activities considered unethical, exploitative, and malicious include:

  1. Obtaining (or attempting to obtain) services from us with the intent to avoid payment;
  2. Using our facilities to obtain (or attempt to obtain) services from another provider with the intent to avoid payment;
  3. The unauthorized access, alteration, or destruction (or any attempt thereof) of any information about our customers or end-users, by any means or device;
  4. Using our facilities to interfere with the use of our facilities and network by other customers or authorized individuals;
  5. Publishing or transmitting any content of links that incite violence, depict a violent act, depict child pornography, or threaten anyone’s health and safety;
  6. Any act or omission in violation of consumer protection laws and regulations;
  7. Any violation of a person’s privacy.

Our Products may not be used by any person or entity, which is involved with or suspected of involvement in activities or causes relating to illegal gambling; terrorism; narcotics trafficking; arms trafficking or the proliferation, development, design, manufacture, production, stockpiling, or use of nuclear, chemical or biological weapons, weapons of mass destruction, or missiles; in each case including any affiliation with others whatsoever who support the above such activities or causes.

Unauthorized use of SignHouse property

We prohibit the impersonation of SignHouse, the representation of a significant business relationship with SignHouse, or ownership of any SignHouse property (including our Products and brand) for the purpose of fraudulently gaining service, custom, patronage, or user trust.

About this policy

This policy outlines a non-exclusive list of activities and intent we deem unacceptable and incompatible with our brand.

We reserve the right to modify this policy at any time by publishing the revised version on our website. The revised version will be effective from the earlier of:

  • the date the customer uses our Products after we publish the revised version on our website; or
  • 30 days after we publish the revised version on our website.

Refund Policy

We believe in refunds. We believe that people asking for fair refunds should be granted that, as we’re not in the business of ripping people off. Our company wants happy customers, not hostages. If you think we didn’t do you right, reach out to us and we’ll do our best to make it as fair as possible.

Examples of full refunds we would grant

  • If you were just charged for your next month of service but you meant to cancel, we’re happy to refund that extra charge.
  • If you mistakenly bought a subscription for SignHouse multiple times, for the same users, we’ll refund all the extra purchases. (except for the initial one, where you’ll have access to our service)

Examples of partial refunds or credits we’d grant

  • If you upgraded your account a few months ago to a higher plan and kept using it in general but you didn’t end up using the extra features, we’d consider applying a prorated credit towards future months.
  • If we had extended downtime (multiple days in a month) and you emailed customer service and it took multiple days (7+) to get back to you, we’d issue a partial credit to your account.

Examples of refund we cannot grant

  • We cannot grant a refund if we weren’t asked for one. We make every effort we can to be as accessible as possible — the live chat bubble being the quickest method for you to reach us. If you’d like a refund, simply get in touch with us so we can see how we can do right by you.
  • We cannot offer refunds if any of our subscriptions are downgraded, or for any lifetime plans.

Ultimately, we want to do right by as many people as we can. If you think something happened which shouldn’t have happened, send us an email, let us know about the situation and we’ll work with you to make sure you’re happy.
